WHAT IF: Post Effect of the SpaceX–Tesla Merger

By India Crypto Research|6 mins read
Last Updated on: Oct 23, 2026|Published On: Oct 23, 2026
Key Takeaways
  • 30,221 BTC under one roof: SpaceX and Tesla hold 18,712 and 11,509 BTC, respectively. Currently, that is worth about $2.51 billion at a Bitcoin price near $83,000.

  • Sixth-largest corporate holder: A combined SpaceX and Tesla would be the sixth-largest publicly traded corporate Bitcoin holder, behind Strategy, Metaplanet, Twenty One Capital, Strive and MARA.

  • Big paper profit: The combined cost basis of the stack is around $1.06 billion (about $35,000 per coin), which means the unrealised gain would be around $1.45 billion.

  • Bitcoin is small compared to AI: SpaceX's capex was $20 billion in Q3, and the company is guiding for Q4 to be $35–40 billion. Bitcoin's entire stack is less than one week of SpaceX's Q4 guidance.

Elon Musk revealed that both Tesla and SpaceX are considering a merger. There have been many discussions about cars, rockets and AI chips, but there's another less public story surrounding the balance sheets of both companies: they each hold Bitcoin. Post-merger, these two companies would have one of the largest non-mining corporate Bitcoin treasuries in the world. This post explores what the combined holdings would be worth, where they would rank, and the most important question: what would a merger mean for this Bitcoin?

1. What Is a Corporate Bitcoin Treasury?

A corporate Bitcoin treasury is Bitcoin that a company holds on its balance sheet, the same way it might hold cash or bonds. Some companies make Bitcoin their core business strategy (e.g. Strategy). Others, like Tesla and SpaceX, hold Bitcoin as a side reserve next to their large core businesses.

2. What Musk Announced

During SpaceX's 20 October earnings call, Musk mentioned that both companies have named independent director committees to explore a merger. Musk said that, while he personally believes the two companies should merge, he will stay out of the negotiations since he owns a significant stake in both. He also warned that the committees have not settled any terms and might never agree.

The logic is industrial. Merging the companies would bring together SpaceX's rockets, Starlink satellites and AI operations with Tesla's EVs, self-driving software and humanoid robots. Musk pointed to shared AI infrastructure, chips and manufacturing, including Terafab, the semiconductor project SpaceX and Tesla are building together. In Q3, SpaceX's revenue jumped 161% to $15 billion, with its Super Intelligence segment bringing in $8 billion of that.

3. Breakdown of Combined Bitcoin Holdings

The 30 June regulatory filings show each company's Bitcoin holding clearly. SpaceX has 18,712 BTC (about $1.55 billion) and Tesla 11,509 BTC (about $0.95 billion). In total, the two companies hold 30,221 BTC worth about $2.51 billion.

Figure 1: Approximate cost basis vs current value of Bitcoin holdings (US$ billion, at ~$83,000/BTC)

How we calculated this: value = BTC held × $83,000. SpaceX's cost basis (about $661 million) is disclosed. Tesla's cost basis is implied from a combined cost basis of about $35,000 per coin across both firms, so treat it as an estimate.

SpaceX and Tesla are both deep in profit on their Bitcoin. The stack cost about $1.06 billion and is currently worth about $2.51 billion, reflecting an unrealised gain of about $1.45 billion, or 137%.

4. Where Would a Merged Company Rank?

According to BitcoinTreasuries' 21 October rankings, the combined 30,221 BTC would place the merged company as the sixth-largest publicly traded corporate Bitcoin holder. Separately, SpaceX ranks seventh and Tesla eleventh.

The gap at the top is huge. Strategy (848,517 BTC) holds about 28 times the merged stack. The merged company would also be just above Bitcoin Standard Treasury (30,021 BTC), which is listed by BitcoinTreasuries separately, so the sixth position could change with minor purchases by others.

5. Two Very Different Bitcoin Playbooks

Tesla and SpaceX have taken different approaches to Bitcoin, and the merged company would need to pick one. Tesla bought $1.5 billion of Bitcoin in 2021 and sold about 75% of it in 2022 to boost liquidity, acting like a trader. SpaceX, on the other hand, built its position for about $661 million and was patient enough to hold it. The value of SpaceX's Bitcoin holding moved from $1,637 million at the end of 2025 to $1,573 million on 30 September 2026.

This history is important. Tesla has already shown it will sell Bitcoin when the company needs cash. SpaceX has shown patience. Whichever of the two approaches shapes the merged finance team will determine what happens to the Bitcoin.

6. The Post Effect: What Changes After a Merger?

A merger won't magically create new Bitcoin, but it will change who controls it, how big it looks next to the business, and what pressures sit around it. Here is the biggest post effect.

6.1 Bitcoin becomes a rounding error next to AI spending

SpaceX spent $20 billion on capital expenditure in Q3, $16 billion of which went to AI infrastructure. Management expects SpaceX's total Q4 capex to be in the range of $35 to $40 billion.

Figure 3: Combined Bitcoin treasury vs SpaceX capital expenditure (US$ billion)

The entire Bitcoin stack equals about 12.5% of one quarter's capital expenditure (capex) in Q3, and around 6–7% of the guided Q4 spending. When companies spend this rapidly, a $2.5 billion liquid asset becomes an easy funding source, just like it was for Tesla in 2022.

7. The ICR View: India Crypto Research

In the words of Shabbir Kayyumi, Head of India Crypto Research: “While a 30,221 BTC treasury is a substantial headline, its effect on Bitcoin is expected to remain modest, relative to Strategy, major Bitcoin ETFs and the merged company's own spending. We do not expect the merger itself to have a substantial effect on Bitcoin's price. An all-stock transaction would, in the short term, protect the Bitcoin holdings, as there would be no immediate need to sell BTC to finance the merger. The real test, however, will be the first few quarters post-merger, as the spending priorities of the combined company become clearer. Ultimately, China will determine the merger timeline. Without a workable plan for Tesla China, the deal could stall, leaving the Bitcoin holdings split across the two companies' balance sheets.”

8. The China Hurdle

JPMorgan believes China's regulatory approval is possibly the biggest hurdle. China accounts for about 20% of Tesla's revenue. SpaceX has deep US defence ties and runs Starlink, which is not authorised in China.

JPMorgan's Gupta suggested that Tesla could place its China operations under majority local ownership while keeping technology and brand licensing deals. This could help ease Beijing's concerns, but such a move could also complicate negotiations. Any deal would also need approval from holders of a majority of Tesla's outstanding shares.

9. The Bigger Picture: Bitcoin ETFs

To give some perspective to 30,221 BTC, let's look at the large spot Bitcoin ETFs. Holdings across the top five were unchanged this week.

5Bitwise Bitcoin ETF (BITB)38,189$3.14 billion

Figure 4: Top 5 Bitcoin ETFs vs the combined SpaceX + Tesla treasury (BTC)

Xapo (38,931 BTC) sits just ahead of Bitwise but is a custodian, not an ETF, so it is not included. Across 49 ETFs and exchanges tracked, 1,610,446 BTC is under management, worth roughly $132.28 billion. The merged SpaceX–Tesla stack would equal less than 4% of IBIT and under 2% of all tracked ETF holdings.

Our Bottom Line: Indian investors should monitor, rather than trade on, this development. A merged SpaceX–Tesla would be an AI and space giant that happens to own some Bitcoin, and therefore should not be viewed as a Bitcoin company. Investors interested in Bitcoin should evaluate it directly, not through a stock where Bitcoin is only about 0.1% of the value.
